Meta borrowed $27bn without borrowing it. The bond now trades at 94

On 23 September, Meta's shares rose 9%, their best day in a year. The same day, the $27.3bn bond behind its Hyperion data center fell to 94.4 cents on the dollar, a record low. To see why, start with what the bond paid for.
What Hyperion is
Hyperion is the campus Meta is building in rural north-east Louisiana to train and run its AI models. Announced in December 2024 as a $10bn project, it has grown into a $50bn-plus commitment with 5GW of computing capacity. Mark Zuckerberg says one such cluster covers "a significant part of the footprint of Manhattan."
Why lenders want it
A leased data center pays like a toll road: its cash flow is rent, paid by one of the largest companies in the world. Morgan Stanley puts global data center spending at $2.9tn to 2028, with a $1.5tn gap the hyperscalers cannot fund themselves, and about $800bn of it expected from private credit.
How Meta financed it
Blue Owl's funds own 80% of the campus, Meta 20%. The vehicle issued $27.3bn of bonds at 6.581% to 2049, and Meta pays the rent that repays them. The debt is not on Meta's balance sheet.

Two weeks later, Meta borrowed $30bn in its own name about a point cheaper.

The interview answer
The question you will get: who is the credit here, Blue Owl or Meta?
Meta. Blue Owl owns the equity, but the cash that repays the bonds is Meta's rent, and Meta guarantees the campus value for 16 years. That is why S&P rates the bonds A+, one notch below Meta.
The line to use:
"The extra point buys Meta a lease it can leave after four years and debt outside its leverage ratios. The lender's risk is the gap between a 4-year lease, a 16-year guarantee and a bond to 2049."
